These Terms of Use govern your access to and use of the website and Services of LawTech Inc. ("enotarypublic.ca", "we", "us" or "our"). By using the Services you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind it.
1. When your agreement is formed
Browsing the site, requesting information or receiving a price estimate does not create a binding agreement or charge you anything. A binding service agreement is formed only when you (1) confirm your booking and (2) authorize payment at checkout. Until then, you may leave at any time with no obligation.
2. What we do — and what we do not do
We provide document commissioning, notarization and related document services, and administrative document-preparation assistance. We do not provide legal advice through the platform, and information on the site is general information only, not legal or other professional advice, and does not create a solicitor-client relationship. Whether a document can be completed online, and whether it will be accepted, depends on the document and the institution receiving it.
3. Eligibility and identity
You must be able to enter into a binding contract to use the Services. Certain Services require you to verify your identity and to appear before a commissioner or notary. A commissioner or notary must decline to act where identity, understanding, or the legal requirements for the act cannot be confirmed.
4. Accounts and passwords
Some features require an account. You agree to provide accurate information, keep your password confidential, and are responsible for activity under your account. Notify us immediately of any unauthorized use.
5. Payment, price and taxes
You agree to pay the fees shown at checkout, plus applicable 13% Ontario HST, in Canadian dollars, using a payment method you are authorized to use. Before you pay, we show you the service description, itemized price, fees, taxes, total, and our cancellation and refund policy; after you pay, we deliver a copy of your agreement (your receipt and confirmation) by email. Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6. Your content
You retain ownership of the documents and information you submit. You grant us the limited rights needed to provide the Services (for example, to store, process and deliver your documents). You represent that the information you submit is accurate and that you have the right to submit it. Your personal information is handled under our Privacy Policy.
7. Our content
The site, its design and its content are owned by us or our licensors. You may use them for your own non-commercial, informational purposes, keeping all proprietary notices; you may not otherwise copy, reproduce, distribute, sell or create derivative works without our written consent.
8. Acceptable use
Your use of the Services is subject to our Acceptable Use Policy.
9. Third-party services and links
The site may link to or rely on third-party services. Those services have their own terms and privacy policies, and we are not responsible for them.
10. Disclaimers
The Services and the site are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties except those that cannot be excluded under applicable law, including the consumer protections described in section 11.
10A. AI-assisted tools
Some features use AI-assisted tools (for example, document classification, request routing and drafting assistance). Their output is informational only, is not legal advice, and does not determine the legality, validity or acceptance of any document. You are responsible for reviewing and confirming anything produced with these tools, and a commissioner or notary independently reviews every document before acting.
11. Limitation of liability
To the fullest extent permitted by law, and subject to the following sentence, our total liability to you for any claim arising out of a Service is limited to the amount you paid for that Service, and we are not liable for indirect, incidental or consequential losses. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including under Ontario's Consumer Protection Act, 2002 (which, among other things, prevents contracting out of consumers' statutory rights and includes a warranty that services be of a reasonably acceptable quality), liability for fraud, or liability for personal injury caused by negligence.
12. Indemnity
You agree to indemnify us against claims arising from your breach of these Terms or your misuse of the Services, except to the extent caused by our own fault.
13. Changes and termination
We may modify or discontinue the Services or the site, and may update these Terms by posting a revised version with a new effective date. Material changes will be identified. Your continued use after a change takes effect constitutes acceptance; if you do not agree, stop using the Services.
14. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. The courts of Ontario have jurisdiction, without limiting any right you may have as a consumer to bring proceedings in your own locale.
